These Terms of Service govern access to and use of Elite Wellness Portal and the administrative prescription-routing and fulfillment-coordination services provided by Elite Wellness Systems, LLC (“Company,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms.
1. Who Fills and Ships Prescriptions?
Accepted prescriptions are independently reviewed, filled, and shipped by one of the following licensed pharmacies, as permitted by the pharmacy’s licenses, the patient’s location, product availability, and applicable law:2. Company’s Role
The Company provides administrative technology and coordination services for transmitting prescription information to participating pharmacies.
The Company is not a pharmacy, healthcare provider, medical practice, or prescriber. The Company does not:
- Diagnose or treat patients.
- Establish provider-patient relationships.
- Issue or approve prescriptions.
- Determine whether a medication is medically appropriate.
- Compound, dispense, label, or ship medications.
- Override a provider’s or pharmacist’s professional judgment.
All clinical decisions are made independently by the patient’s licensed provider. All dispensing decisions are made independently by the receiving pharmacy.
3. Authorized Users
Only appropriately licensed providers and their authorized personnel may submit prescription information through the Services.
Each provider is responsible for:
- Maintaining all required professional licenses, registrations, prescribing authority, and DEA registration when applicable.
- Practicing within the provider’s authorized scope and jurisdictions.
- Establishing a valid provider-patient relationship.
- Completing all evaluations required by applicable prescribing and telemedicine laws.
- Obtaining the patient’s informed consent.
- Issuing prescriptions only for legitimate, patient-specific medical purposes.
- Protecting account credentials and preventing unauthorized access.
The Company may verify provider credentials and suspend access if required information is expired, restricted, incomplete, or unverifiable.
4. Patient-Specific Compounded Medications
Any compounded medication coordinated through the Services must be prepared pursuant to a valid prescription for an identified individual patient in accordance with section 503A of the Federal Food, Drug, and Cosmetic Act and applicable state law.
Compounded medications:
- Are prepared for an identified patient based on a valid prescription.
- Are not intended for bulk resale, general office inventory, or distribution without patient-specific prescriptions.
- Are not reviewed or approved by the FDA for safety, effectiveness, or quality before being dispensed.
- Must be supported by the patient-specific clinical information and documentation required by law and pharmacy policy.
When a comparable commercially available medication exists, the provider must document any required patient-specific clinical need, formulation change, and determination that the change will produce a significant difference for that patient. Cost, convenience, or preference alone may not satisfy this requirement.
5. Prescription and Order Validation
Every medication order is subject to administrative and pharmacy validation before it may be transmitted, accepted, dispensed, or shipped.
The provider must submit complete and accurate information, including, as applicable:
- Patient’s full legal name, date of birth, address, and contact information.
- Medication name, strength, dosage form, quantity, directions, and refill authorization.
- Provider’s name, license information, NPI, contact information, and DEA registration when applicable.
- Patient allergies, relevant medical information, and required clinical documentation.
- Patient-specific justification for a compounded formulation when required.
- Complete shipping and delivery information.
- Any other information required by the receiving pharmacy or applicable law.
The platform’s administrative validation does not constitute clinical approval or confirmation that a prescription is legally or medically appropriate.
If the provider does not submit sufficient, accurate, or verifiable information:
- The order may not be transmitted to the pharmacy.
- The provider may be asked to supply additional documentation.
- The pharmacy may place the prescription on hold.
- The pharmacy may decline to compound or dispense the medication.
- The medication may not be shipped.
- The order may be cancelled when the missing information is not resolved.
Submission of an order does not guarantee that a prescription will be accepted, filled, or shipped.
6. Pharmacy Review
The receiving pharmacy independently verifies prescription validity, provider authority, patient information, applicable compounding requirements, jurisdictional restrictions, and other dispensing requirements.
The pharmacy may contact the provider or patient for clarification. It may refuse, hold, cancel, or modify fulfillment when permitted by law if it identifies incomplete information, safety concerns, licensing limitations, suspected fraud, diversion concerns, or another legal or professional issue.
The Company cannot require a pharmacy to dispense a medication or reverse a pharmacist’s decision.
7. Availability and Jurisdictional Limitations
Services and medications are available only where the applicable provider and pharmacy are properly authorized to prescribe, dispense, and ship.
A medication may be unavailable because of licensing restrictions, patient location, ingredient availability, pharmacy policy, regulatory changes, safety concerns, or other operational limitations. The Company may restrict or discontinue access to a medication, pharmacy, provider, or jurisdiction at any time when necessary for compliance or patient safety.
8. Pricing, Payment, and Cancellations
Applicable fees and payment terms are disclosed through the platform, an order form, or a separate agreement.
Payment does not guarantee that a provider will issue a prescription or that a pharmacy will accept, dispense, or ship a medication. Refunds, credits, cancellations, and shipping charges are governed by the applicable posted policy or written agreement.
Prescription orders generally cannot be cancelled after the pharmacy has begun compounding or processing the medication.
9. Shipping and Delivery
Shipping estimates are not guarantees. Delivery may be delayed by pharmacy processing, weather, carrier interruptions, address errors, patient unavailability, refrigeration requirements, or regulatory review.
Users must provide a complete and accurate delivery address and follow all storage and handling instructions provided by the pharmacy. The Company is not responsible for delays or losses caused by inaccurate information, carrier events, or a patient’s failure to retrieve or properly store a delivered medication.
10. Privacy and Electronic Communications
Information submitted through the Services is handled in accordance with the applicable Privacy Policy and any required business associate or data-sharing agreements.
Users consent to receive electronic communications related to accounts, prescription status, documentation requests, payment, and fulfillment. Electronic communications are not appropriate for medical emergencies.
11. Prohibited Uses
Users may not:
- Submit false, altered, incomplete, or misleading information.
- Submit a prescription without proper authority.
- Request medication for resale, redistribution, or an unidentified patient.
- Circumvent licensing, prescribing, dispensing, or shipping restrictions.
- Access another person’s account without authorization.
- Interfere with platform security or operations.
- Use the Services for unlawful prescribing, diversion, fraud, or other illegal activity.
The Company may suspend or terminate access and report suspected unlawful activity when required.

12. No Medical Advice or Emergency Services
Platform content and administrative support do not constitute medical or pharmacy advice. Patients should direct treatment questions to their licensed provider and medication, storage, or dispensing questions to the dispensing pharmacy.13. Disclaimer and Limitation of Liability
The Services are provided on an “as available” basis. To the maximum extent permitted by law, the Company does not guarantee uninterrupted platform access, provider approval, pharmacy acceptance, medication availability, dispensing, shipment, delivery time, or treatment results.
The Company is not responsible for the independent clinical decisions of providers, the professional dispensing decisions of pharmacies, or the acts or omissions of shipping carriers or other independent third parties.
To the maximum extent permitted by law, the Company’s liability arising from the Services will not exceed the amount paid directly to the Company for the applicable transaction or service.
14. Indemnification
Users agree to indemnify and hold the Company harmless from claims, losses, or expenses arising from their violation of these Terms, submission of inaccurate or unauthorized information, unlawful prescribing activity, or misuse of the Services.
15. Changes to These Terms
The Company may update these Terms to reflect legal, regulatory, operational, or service changes. Updated Terms become effective when posted unless otherwise stated. Continued use of the Services after an update constitutes acceptance of the revised Terms.16. Governing Law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. Any dispute must be brought in the applicable state or federal courts located in Georgia, unless another dispute-resolution process is required by a separate written agreement.

1. Product Disclosure
- These statements have not been evaluated by the FDA.
- Products are not intended to diagnose, treat, cure, or prevent any disease.
- Results may vary.
- All formulations are sourced through licensed 503A/503B compounding pharmacies,
licensed compounding labs, authorized fulfillment facilities, or FDA-registered
manufacturers. - All raw materials undergo purity testing (≥97%); COAs and third-party testing documents
are available upon request.
2. Purchaser Qualifications
Products are intended exclusively for licensed medical professionals or entities operating under a provider’s license.
By placing an order, you affirm that you:
- Are a licensed medical provider, authorized clinical facility, or entity operating under a provider’s supervision.
- Will comply with all applicable laws and regulations.
- Will not use products for any unauthorized or unlawful purpose.
The seller reserves the right to refuse sales to unqualified purchasers.
3. Age Requirement
You must be 21 years or older to make a purchase.
4. All Sales Are Final
All purchases are final, non-refundable, and non-returnable, except in cases of:
- Legal requirements
- Verified defective or damaged products (see Section 9)
Improper storage, mishandling, or failure to follow temperature-sensitive shipping instructions voids all refund eligibility.
5. Handling, Storage & Use
The purchaser is solely responsible for:
- Proper handling, storage, administration, and use of products
- Compliance with internal protocols and applicable licensing
- Any consequences of improper use or mishandling
The seller does not participate in dosing, clinical decisions, or patient care and is not liable for any resulting outcomes.
6. No Warranties
All products are sold “as is,” without any warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
No guarantee of outcomes or specific results is made or implied.
7. Indemnification
The purchaser agrees to indemnify and hold harmless the seller, its affiliates, and employees against any claims, damages, liabilities, or legal actions arising from:
- Use or misuse of products
- Distribution of products
- Violations of laws or regulations
8. Compliance with Laws
Purchasers are responsible for ensuring compliance with all federal, state, and local regulations. Accounts may be suspended for non-compliance.
9. Returns & Refunds (Damaged or Defective Items Only)
Exceptions apply only to defective or damaged products.
To qualify:
- Claims must be submitted within 24 hours of receipt
- Items must be unused and in original packaging
- Contact must be made via the email listed on the website
Refunds or replacements are issued only after inspection and at the seller’s discretion.
10. Governing Law
These Terms are governed by the laws of the State of XXXXXX.
Any legal action must be brought exclusively in the state courts of XXXXX County, State of XXXXXXXX.
Purchaser waives:
- Federal jurisdiction
- Removal to federal court
- Any claim of inconvenient forum
11. Dispute Resolution (Arbitration)
All disputes shall be resolved through binding arbitration in Harris County, Texas, under AAA rules.
Judgment may be entered in any court with jurisdiction.
12. Modifications
Terms may be updated at any time. Changes are:
